01Agreement to these Terms
These Terms of Service (the “Terms”) are an agreement between you and Topo Labs (“Topo Labs”, “we” or “us”). They cover your use of the Topo website, dashboard, API, SDKs and documentation (together, the “Service”).
By creating an account, creating an API key or sending a request to the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you confirm that you have authority to bind it, and “you” means that organization.
If you have a separate written agreement with us, such as an Enterprise order form, that agreement controls where it conflicts with these Terms.
02The Service
Topo gives you one OpenAI-compatible API to AI models. Requests are routed to GPU nodes run by independent operators who stake TOPO or, for some models, to the model's developer. A sample of outputs is verified by independent attestors, and every response carries a signed receipt.
We may add, change or remove models, regions and features over time. Features marked as preview or beta are provided for evaluation, may change without notice and are not covered by any service level commitment.
03Accounts and API keys
- You must be at least 18 years old and able to form a binding contract to use the Service.
- Keep your account details accurate and up to date.
- Keep your API keys and wallet credentials secret. You are responsible for all activity under your account and keys, including spend by agents you configure.
- If you believe a key or your account has been compromised, revoke the key in the dashboard and tell us promptly at support@topolabs.ai.
04Payments and settlement
The Service is prepaid. You fund your team wallet with USDT, ETH or SOL on Base or Solana, or with TOPO, and each request is charged per token at the model's list price, less any plan discount and, when you pay in TOPO, a further 20% discount.
- Prices are published on our website and in the dashboard. We may change them with notice. Changes never apply to requests that have already completed.
- On-chain transfers are final. Send only the supported assets and chains listed in the docs, to your team's deposit address. We may not be able to recover assets sent to the wrong address or chain.
- Plan fees and included credit work as described on the pricing page. Wallet balances and credit do not earn interest and cannot be exchanged for cash, except as these Terms or applicable law provide.
- You are responsible for taxes that apply to your purchases, other than taxes on our income, and for any network fees charged by the blockchain you use.
- Enterprise customers may be invoiced in USDT or fiat under their order form.
Each request produces a receipt. Receipts are batched and settled on-chain, and the receipt is the record of what you were charged for that request.
05Acceptable use
You may not use the Service, or help anyone else use it, to:
- break the law or infringe anyone's rights, including intellectual property and privacy rights;
- generate or distribute child sexual abuse material or any content that sexualizes minors, or content that facilitates violence, terrorism or other serious harm;
- create malware, carry out attacks, or gain unauthorized access to any system, account or data;
- send spam, or commit fraud, impersonation or other deceptive practices;
- probe, overload or disrupt the Service or the network, or get around rate limits, key scopes, spend limits or verification;
- violate the usage policies of the developers of the models you call.
06Your content
“Inputs” are the prompts, files and other data you send to the Service. “Outputs” are what the Service returns. As between you and us, you keep all rights in your Inputs and, to the extent the law allows, you own your Outputs.
You give us, and the node operators and attestors that process your requests, a limited license to use Inputs and Outputs only to provide, verify and secure the Service. Requests are encrypted in transit, served from memory and not stored by default, and we do not use them to train models. Our Privacy Policy explains how we handle data.
Outputs are generated by AI models and can be inaccurate, incomplete or offensive. You are responsible for your Inputs, for how you use Outputs, and for checking Outputs before you rely on them.
07Models and node operators
Models on the network are developed by third parties. Some are served by node operators running open weights. Others are provided by their developers, whose terms may also apply to your use. Model and provider names belong to their owners.
Node operators and attestors are independent. They are not our employees or agents. Staking, sampled verification and slashing are designed to hold them accountable, but they reduce risk rather than remove it.
08The TOPO token
TOPO is a utility token. It can be used to pay for inference at a 20% discount, it is staked by node operators as collateral, and once governance launches it will be used to vote on network parameters.
TOPO is not a share, a deposit or a claim on Topo Labs, and its market price can change sharply. Nothing in the Service or on our website is an offer of any token, or investment, financial, legal or tax advice. Operator staking and slashing follow the operator terms and the network rules described in the docs.
09Availability and changes
We work to keep the Service available and fast, but we do not promise that it will be uninterrupted or error-free. Service level commitments, such as the SLA on dedicated capacity, apply only where your plan or a written agreement includes them, with the remedies stated there.
We may carry out maintenance, and we may change or discontinue parts of the Service. We will give reasonable notice of changes that materially reduce what you can do, unless we need to act sooner for security or legal reasons.
10Suspension and termination
You may stop using the Service and close your account at any time, from the dashboard or by writing to us.
We may suspend or end your access, or revoke API keys, if you materially breach these Terms, if your use creates a security or legal risk, or if the law requires it. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.
If we close your account for any reason other than your breach of these Terms, we will return your unused wallet balance to a wallet address you control, less network fees. Terms that by their nature should survive, such as payment obligations, disclaimers and limits of liability, survive the end of this agreement.
11Disclaimers
To the extent the law allows, the Service is provided “as is” and “as available”. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that Outputs will be accurate or that the Service will be uninterrupted.
12Limitation of liability
To the extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if it was advised of the possibility.
To the extent the law allows, our total liability arising out of or relating to these Terms or the Service is limited to the greater of the amounts you paid us for the Service in the 12 months before the claim arose and US$100.
These limits do not apply to liability that cannot be limited by law.
13Indemnity
You will defend and indemnify Topo Labs against third-party claims, and the related losses and costs, arising from your Inputs, your use of Outputs or your breach of these Terms, except to the extent they are caused by our own breach.
14Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page with a new “Last updated” date and, for material changes, give you reasonable advance notice by email or in the dashboard. If you keep using the Service after the changes take effect, the updated Terms apply.
15Governing law and disputes
Unless your order form says otherwise, these Terms are governed by the laws of the jurisdiction in which Topo Labs is organized, without regard to its conflict-of-law rules. Before starting formal proceedings, each party agrees to try to resolve a dispute informally for at least 30 days after written notice to the other.
Nothing in these Terms limits rights you have as a consumer under the mandatory laws of the place where you live.
